AGREEMENT AND CONSENT TO ELECTRONIC RECORDS AND ELECTRONIC SIGNATURES

This Agreement and Consent to Electronic Records and Electronic Signatures ("Agreement") is made between Nyangu Technology Limited ("Nyangu", "we", "us", or "our") and you ("you", "user", or "participant").

By accessing, using, or transacting through Nyangu's digital platforms, products, or services, you acknowledge and agree that electronic records and electronic signatures are legally binding, enforceable, and equivalent to paper records and handwritten signatures, subject to applicable laws.

1. Purpose of This Agreement

Certain laws require that some information, notices, disclosures, or agreements be provided to you “in writing.” This Agreement informs you of your rights to receive such records on paper and explains your consent to receive records electronically and to use electronic signatures in place of handwritten signatures.

2. Definitions

"Electronic Records" means any agreement, notice, disclosure, authorization, acknowledgment, policy, contract, record, or other information provided or made available by Nyangu in electronic form.

"Electronic Signature" means any electronic sound, symbol, process, method or action (including clicking an “I Agree” button, typing your name, or using a digital signature tool) that you execute or adopt with the intent to sign Electronic Records, including any authentication or security procedure adopted by Nyangu to verify identity and ensure record integrity.

"Electronic Services" means all current and future websites, mobile applications, portals, APIs, and digital services provided by Nyangu.

3. Consent to Electronic Transactions

By providing your consent, you agree that:

  • Nyangu may provide all required notices, disclosures, and agreements electronically or in electronic form;
  • You may execute agreements and other documents using Electronic Signatures; and
  • Electronic Records and Electronic Signatures shall have the same legal effect as paper documents and handwritten signatures, subject to applicable law
  • Your consent applies to all interactions and transactions with Nyangu unless and until you withdraw it in accordance with this Agreement.

4. Legal Recognition and Jurisdiction Scope (Nigeria)

You acknowledge and agree that Electronic Records and Electronic Signatures are legally recognized, admissible, and enforceable under the laws of the Federal Republic of Nigeria, including but not limited to:

  • Evidence Act 2011, which recognizes electronic records as admissible evidence;
  • Cybercrimes (Prohibition, Prevention, etc.) Act 2015, which supports the validity of electronic communications and transactions; and
  • Other applicable Nigerian laws, regulations, and judicial precedents relating to electronic transactions.

Where Nigerian law requires additional formalities or excludes certain documents from electronic execution (including documents requiring notarization, registration, or wet-ink signatures), Nyangu will comply with such requirements.

5. System and Access Requirements

To access and retain Electronic Records, you must have:

  • A device capable of accessing the internet (computer, tablet, or smartphone)
  • A modern web browser or mobile application
  • A valid email address or other electronic contact method
  • Sufficient storage or printing capability to retain copies for your records

You are responsible for ensuring that your systems continue to meet these requirements. However, Nyangu shall take reasonable steps to ensure that its Electronic Services remain accessible using commonly available technologies.

6. Access, Retention, Copies, and Data Protection

  • Electronic Records will be made available to you through Nyangu’s platform, email, or secure portal.
  • You may download, save, or print copies of Electronic Records for your records.
  • Nyangu will retain Electronic Records only for as long as is necessary to fulfill contractual, legal, and regulatory obligations.
  • Nyangu processes, stores, and protects Electronic Records in accordance with the Nigeria Data Protection Act 2023 (NDPA),The General Application and Implementation Directive (GAID) 2025 issued by the Nigerian Data Protection Commission (NDPC) and Nyangu’s internal data protection and information security policies.
  • Appropriate technical and organizational measures are implemented to protect Electronic Records against unauthorized access, loss, misuse, or alteration.

7. Right to Paper Copies

You have the right to request a paper copy of any Electronic Record, subject to reasonable administrative costs where permitted by law. Requests may be made through Nyangu’s official communication channels.

8. Complaints and Enquiries

You may contact Nyangu with any complaints, concerns, or enquiries relating to this Agreement, Electronic Records, or Electronic Signatures by using the contact details provided on our platform.

Nyangu will acknowledge receipt of, and respond to, any complaint within a reasonable timeframe, in accordance with applicable laws and its internal policies.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the State the incident occurred in Nigeria

10. Withdrawal of Consent

You may withdraw your consent to receive Electronic Records or use Electronic Signatures at any time by providing written notice to Nyangu through our official communication channels

Please note that:

  • Withdrawal of consent will not affect the validity or enforceability of Electronic Records or Electronic Signatures executed prior to withdrawal; and
  • Withdrawal will limit your ability to access or use Nyangu services that are offered exclusively through electronic means.

11. Updating Contact Information

You agree to keep your contact information accurate and up to date. Nyangu shall not be responsible for delays or failures in delivery resulting from outdated or incorrect contact details.

12. Amendments

Nyangu reserves the right to amend or update this Agreement from time to time. Any updated version shall be made available electronically and shall take effect upon publication or notification.

13. Acknowledgment and Acceptance

By clicking “I Agree,” signing electronically, or continuing to use Nyangu’s Electronic Services,you expressly acknowledge, represent, and agree that:

  • Your device(s), systems, and internet access meet the technical requirements necessary to access, receive, and retain Electronic Records;
  • You can access, read, and understand this Agreement and all Electronic Records provided to you;
  • You have provided a valid and active email address or other electronic contact details for the receipt of Electronic Records;
  • You will promptly update your contact information if it changes or becomes inaccurate.
  • You affirmatively choose to transact with Nyangu by electronic means;
  • You understand that you may request paper copies or withdraw consent, subject to the terms of this Agreement;
  • Your consent applies to all current and future Electronic Services of similar nature provided by Nyangu, unless withdrawn; and
